1. Name of the organisation and definition of the area of Chapeltown
    The name of the Association shall be Chapeltown Village Residents’ Association, hereafterknown as CVRA.
    The area which the CVRA covers is broadly defined by the “3 bridges”, the two railway bridges, to the south on Chapeltown Road by the King William Pub, to the north the railway bridge at the end of Greens Arms Road, and to the east by the road bridge over the Brook in Turton Bottoms.
  2. Aims of the CVRA
    A. To promote the interests of all residents in Chapeltown.
    B. To represent the views of the above people.
    C. To promote social activities for all members of the community.
    D. To make the area a better, safer, cleaner and happier place in which to live.
    E. The Association shall remain non-party-political.
    F. The Association will work with other groups, organisations, and individuals where their aims and purpose align with the aims of the Association.

    CVRA will not discriminate on grounds of sex, race (including colour, ethnic or national origin), sexual orientation, disability, gender reassignment, religious or political belief, pregnancy or maternity, marital status or age
  4. Membership
    Membership of the Association shall be open to all residents of Chapeltown. There is no subscription or membership fee; membership is free to everyone who lives within the designated area covered by the Association. Each adult member shall have one vote.
    Those under the age of 18 will be Junior Members, whose parents / guardians should give permission and provide the appropriate contact address. Junior Members, though not having a vote, will be asked for their views and will have space on the Agenda of each meeting for their ideas and involvement.
    Members will be required to show residence in Chapeltown and will be asked to provide a postal address and a contact email address. These will be held and managed under proper GDPR protocols and will not be shared (see Communications).
    Termination of Membership.
    a) A member will cease to be a member if:
    i.he/she resigns
    ii.he/she moves out of the area
    iii.be/she is expelled from membership via a special meeting of the Committee and a vote. (see below)
    b) The Committee has the right to terminate the membership of any member of the Chapeltown Village Residents’ Association who is in breach of this Constitution, any secondary rules enacted by the Committee (including abuse of communications), or anyone who defrauds the Association. The member has the right to put their case forward to the Committee, to be informed of the reason/s for expulsion and to appeal to a meeting of members.
  5. The Committee
    A Committee shall be elected to carry out the business of the Association. The Committee shall consist of a Secretary, Chairperson, Vice Chairperson and Treasurer.
    The committee shall be elected at each Annual General Meeting. Membership of the committee is open to all residents of Chapeltown Village Residents Association, regardless of their race, sex, religion, nationality, age, disability, sexual orientation or political views.
    Officers shall carry out the duties given to them at General Meetings and in accordance with the Aims and values of the Association.
    The committee shall meet once every two months -or as and when deemed necessary. Any committee member who fails to attend three consecutive meetings without sending apologies shall be deemed to have resigned from the committee.
    The committee may co-opt new members as required by election at the main meetings. Minutes of committee meetings shall be available to all associated members upon request. A copy of this constitution shall be made available to any member upon written request.
    Committee meetings can be attended remotely or happen electronically at the discretion of the Chair and Vice-Chair.
  6. Annual General Meetings (AGM)
    There shall be an Annual General Meeting held every year at which the committee will report on its work and present a statement of accounts.
    The Annual General Meeting shall elect the Committee for the coming year, vote on any recommendations and any amendments to this constitution.
    The Secretary will notify all Members of the dates of the meeting not less than 14 days before such meeting, and publicise the AGM more widely in the community.
    Any proposals submitted to the secretary in writing not less than 7 days in advance of the meeting and relevant to the CVRA aims shall be discussed.
  7. Other General Meetings
    There shall be General Meetings, open to all residents, on a quarterly basis until such times
    as the Committee considers it necessary to vary this time arrangement. A Special General Meeting open to all members will be held if 8 or more members submit in writing a request for such meeting to the Secretary. The Secretary shall arrange for the meeting to take place within 21 days.
    The Secretary shall notify all members of ail General Meetings at least 5 days in advance.
    Discussions, Decisions and Quorum
    All questions that arise at a meeting will be discussed openly; all voices should be heard fairly. If a consensus is not reached a vote will be taken and a decision made by a simple majority of Members present at the meeting. If the votes cast are equal, the Chair shall have an additional casting vote.
    No General or Annual General Meeting shall take place if less than 8 members are present.
    All proposals arising at any meeting shall be decided by simple majority vote of those present and entitled to vote, where each member has one vote and no proxy votes are allowed. Exception is Dissolution – see section 11.
    No Committee Meeting shall take place if less than half of the Committee are present, either in person or electronically.
  8. Finance
    The Treasurer shall open a bank or building society account in the name of the Association.
    Not less than two of three authorised signatories, shall be required to withdraw or transfer any funds from the account. All monies received, cash or cheques shall be banked into the Association’s account as soon as is practicable.
    All expenditure shall be agreed by a decision at a General Meeting or Committee Meeting. However, a small float not to exceed £25 may be retained for basic stationery, etc, payments from which, as with all payments, should be authorised by two signatories.
    All receipts must be retained.
    The Treasurer shall keep written records of all monies received and spent and shall produce a written finance report for every Residents’ Association meeting.
    The Association may apply for grants or support applications for grants. It may fund-raise for an event that it is putting on, or one that it has a shared interest in. It may allocate funds for a particular project or event that is within the aims of the Association.
  9. Communication
    The Association will have and keep current a website on which details of its work, finances and involvement will be available for all to see.
    Minutes of the meetings of the Committee, of General Meetings and of Annual Meetings shall be taken, and available on the CVRA website.
    The CVRA has and will keep up to date Data Protection Policy and Statement, available on the website, and which will govern collection, storage and use of any personal information collected.
    Members shall be invited to receive an email communication, no more than monthly.
    Their details shall not be shared with any other organisation or individual, and all personal details shall be stored securely.
    Information, news and updates shall be sent from an Association email address info@chapeltownvilllage.com . Where other media platforms are being used, appropriate protocols shall be in place.
    Photographs of individuals shall not be taken or shared without prior permission being given.
    Members who abuse the communication platforms shall have their membership cancelled and may be blocked from CVRA media.
    While names will not be made public, the number of members in the Association shall be kept up to date and available on the website.
  10. Changes to the Constitution
    The constitution may be altered or amended at any Annual General Meeting, General or
    Special Meeting.
    Suggested changes must be presented to the Secretary 14 days before such a meeting. Changes must be agreed by at least two thirds of the members present at that meeting.
  11. Dissolution
    The Association may only be dissolved at a Special General Meeting ca!!ed for the purpose and must be advertised at least 14 days prior to such meeting.
    A proposal to dissolve the Association shall take effect only if agreed by at least two thirds of the members present at such meeting.
    Funds and possessions of the Association will be disposed of according to the wishes of the meeting.
    This Constitution has been agreed by the inaugural Committee and will be revised and confirmed at the first Annual General Meeting.
